TRUST AGREEMENT FOR ZONES RESTRICTED TO FOREIGNERS

¿WHY MUST A FOREIGNER ACQUIRE PROPERTY THROUGH A TRUST AGREEMENT?
MEXICAN LEGISLATION
In Article 27 Section I of the Political Constitution of the United Mexican States, it is established that foreigners are forbidden from acquired direct ownership of property and fluvial pathways within a 100 kilometer (64 mile) strip along any of its borders and 50 kilometers (32 miles) from any coast; said areas are known as (the) "Restricted Zone".
LAW OF FOREIGN INVESTMENT
Beginning in 1973, a constitutional amendment known as the Law of Foreign Investment, in its Article 11th, allows for foreigners to acquire rights over real estate within the "Restricted Zone" through a TRUST AGREEMENT that is established by means of a Mexican Bank, ensuring the foreign purchaser (individuals or corporations) all rights, privileges of possession, usage, enjoyment, while the trust bank maintains ownership of the real estate and acts in the names of the Trustee when it so requires.
¿HOW DOES A TRUST AGREEMENT WORK??
Based on the Law of Foreign Investment, Chapter II, Article 11.- It is a necessity that one obtain a permit from the Ministry of the Exterior (SRE) so that the Trustee (Mexican Bank) might acquire rights as trust bank over the real estate located within the Restricted Zone.
The maximum duration of a trust agreement is 50 years, with the possibility of being extended for equal periods.
Trust agreements are established through a notary public once the permit issued by the Ministry of the Exterior (SRE) is obtained, and the Notary is in charge of registering ownership of the real estate property
with the Public Register of Property. The Trust Bank performs registration of the trust agreement in the National Register of Foreign Investment (RNIE) with the Ministry of the Exterior.

Substitute Trustees whomever acquires the rights to the property in the event of death of the Trustee, and they are designated by the foreign purchaser (individual).
The Trustee (foreign purchaser) has the right to use, enjoy, lease, and even sell the property kept deposited in the Trust Agreement, to any eligible foreign or Mexican purchaser, be it an individual or corporation. The Trust Agreement may also be inherited by the Trustees (foreign purchaser who in an individual) family by means of an appointment in the Trust Agreement under "Substitute Trustee in the event of death".
The Trustee (Mexican Bank) is the technical proprietor and has the legal and administrative responsibility of the real estate, but the handling of the property is in the hands of the Trustee (foreign purchaser), due to which the Trust Bank (Mexican Bank) acts based on the instructions received from the Trustee (foreign purchaser) and executes all of the transactions in the name of the Trustee (foreign purchaser) in all transactions and assignments pertaining to the goods in the "Trust Agreement".
During the life of the Trust Agreement, the Trustee (foreign purchaser) has the obligation to pay the Trust Bank (Mexican Bank) the fee for administration of the trust agreement.
¿WHO CAN ACQUIRE IT?
1. Mexican corporations with a foreigner admissions clause, under the circumstance set forth in Section II of Article 10 of the Law of Foreign Investment.
2. Foreign individuals and corporations.

A TRUST AGREEMENT is a contract by which a trustor transfers ownership or title over one or more goods or rights to a fiduciary institution, according to the case, in order to be used for legal and determined activities, entrusting the fulfillment of such purposes to the trust institution itself.
